An offer to acquire tokens will be made only to (i) persons in the United States who are verified as accredited investors under Rule 506(c) of Regulation D, and (ii) residents of jurisdictions in which such offer and sale are permitted under applicable law and where the issuer has satisfied applicable registration, licensing, or exemption requirements.
